Welcome to RupiyaX. These Terms of Service ("Terms") enable you to use our innovative fintech platform specializing in B2B payout solutions. Please read these Terms carefully.

1. Acceptance of Terms

By accessing or using the RupiyaX website, API, and services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Services signifies your acceptance of the updated Terms.

2. Description of Services

RupiyaX provides a technology platform that facilitates business-to-business (B2B) payouts via Unified Payments Interface (UPI) and other banking channels. Our Services allow registered businesses to disburse funds to beneficiaries (vendors, employees, customers) efficiently. RupiyaX is a technology provider and partners with RBI-licensed banks to process the actual transfer of funds.

3. Eligibility and Account Registration

  • Business Use Only: Our Services are intended solely for business and commercial use. You represent that you are acting on behalf of a legally registered business entity in India.
  • Account Creation: To access the Services, you must register for an account and provide accurate, current, and complete information as prompted by the registration process.
  • KYC Compliance: You agree to complete the Know Your Customer (KYC) verification process by submitting valid business documents (PAN, GST, Incorporation Certificate, etc.) as required by our banking partners and applicable laws.

4. User Obligations

  • Legality of Funds: You warrant that all funds loaded into your RupiyaX account are derived from legitimate business activities and do not originate from any illegal or criminal sources.
  • Prohibited Activities: You may not use the Services for money laundering, financing terrorism, gambling, or any activities prohibited by Indian law.
  • Security: You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use of your account.

5. Fees and Payments

We charge fees for the use of our Services as described in our commercial agreement or fee schedule available on the dashboard. Fees are deducted automatically from your pre-paid balance at the time of transaction. All fees are non-refundable once the service has been rendered. We reserve the right to update our pricing with prior notice.

6. Limitation of Liability

To the fullest extent permitted by law, RupiyaX and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services. Our total liability for any claim arising out of these Terms shall not exceed the amount of fees paid by you to us in the three (3) months preceding the claim.

7. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or if we detect suspicious activity on your account. Upon termination, your right to use the Services will immediately cease.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your City/State], India.
